- "Client", "you", or "your" refers to the legal entity or authorised representative accessing or using our Website or Services.
- "Website" refers to the website located at cdmx.in and all associated subdomains.
- "Services" refers to the professional services, software products, and solutions provided by CodeMax as described in Section 3.
- "Products" refers to our proprietary software platforms: Astra, Prisma, Orion, Nova, and the Constellation suite.
- "Agreement"refers to these Terms & Conditions together with any applicable Service Level Agreement, master services agreement, or statement of work executed between the parties.
- "Confidential Information" means any non-public information disclosed by either party to the other, whether orally, in writing, or electronically, that is designated as confidential or that a reasonable person would understand to be confidential.
2. Acceptance of Terms
By accessing or using the Website, engaging our Services, or entering into any agreement with CodeMax, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these terms, you must not access or use our Website or Services.
These Terms & Conditions constitute a legally binding agreement between you and CodeMax IT Solutions Pvt Ltd. Where a separate master services agreement or statement of work exists between the parties, the terms of such agreement shall prevail to the extent of any inconsistency with these Terms & Conditions.

- Prisma— Banking CRM and digital onboarding platform with KYC/KYB verification, compliance workflows, and case management.
- Orion— Real-time AML transaction monitoring and sanctions screening engine.
- Nova— AI-powered compliance intelligence platform.
- Constellation— The integrated product suite combining Astra, Prisma, Orion, and Nova into a unified fintech ecosystem.

The specific scope, deliverables, and terms of service delivery for any engagement are governed by individual service agreements, statements of work, or order forms entered into between CodeMax and the Client.
4. Eligibility
Our Products and Services are designed for and offered exclusively to business entities, including but not limited to banks, electronic money institutions (EMIs), payment institutions, neo-banks, and other regulated financial services providers. By engaging our Services, you represent and warrant that:
- You are acting on behalf of a duly incorporated legal entity or registered business.
- You have the authority to bind such entity to these Terms & Conditions.
- Your use of our Products and Services complies with all applicable laws and regulations in your jurisdiction.
- You hold all requisite licences and regulatory approvals for the financial services activities you conduct using our Products.
CodeMax does not offer its Products or Services directly to individual consumers. If you are an individual and not acting on behalf of a business entity, you may browse the Website for informational purposes only.
5. User Accounts
Where access to our Products or Services requires a user account, you agree to:
- Provide accurate, current, and complete information during registration and maintain the accuracy of such information.
- Maintain the confidentiality of your account credentials and restrict access to your account to authorised personnel only.
- Notify CodeMax immediately of any unauthorised use of your account or any other breach of security.
- Accept responsibility for all activities that occur under your account, whether authorised or not.
CodeMax reserves the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms & Conditions.
6. Intellectual Property
All intellectual property rights in and to the Website, Products, Services, and all associated content, including but not limited to software, source code, object code, algorithms, databases, text, graphics, logos, icons, images, audio, video, documentation, and user interfaces, are and shall remain the exclusive property of CodeMax IT Solutions Pvt Ltd or its licensors.
The names Astra, Prisma, Orion, Nova, Constellation, CodeMax, and all associated logos, product names, and trade dress are trademarks or registered trademarks of CodeMax IT Solutions Pvt Ltd. You may not use, reproduce, or display any of these trademarks without our prior written consent.
Nothing in these Terms & Conditions grants you any right, title, or interest in any intellectual property of CodeMax, except for the limited licence to use our Products as expressly set out in a separate licence agreement or statement of work.
7. Permitted Use & Prohibited Conduct
You are granted a limited, non-exclusive, non-transferable, revocable right to access and use the Website for legitimate business purposes in accordance with these Terms & Conditions.
You shall not, and shall not permit any third party to:
- Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Website or Products.
- Use the Website or Products to transmit any unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable material.
- Attempt to gain unauthorised access to any systems, networks, or data associated with CodeMax.
- Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material.
- Scrape, data-mine, or use automated tools to extract content or data from the Website without our prior written consent.
- Use the Website or Products in any manner that could damage, disable, overburden, or impair our servers or networks.

- Use the Products to process data in violation of any applicable law, including but not limited to anti-money laundering, data protection, and financial services regulations.
8. Service Level Agreements
Where applicable, the availability, uptime commitments, support response times, and performance benchmarks for our Products and Services are set out in the Service Level Agreement ("SLA") annexed to or incorporated by reference in the relevant master services agreement or statement of work. In the absence of a specific SLA, CodeMax shall use commercially reasonable efforts to ensure the availability and performance of its Products.
Planned maintenance windows, scheduled downtime, and force majeure events are excluded from SLA uptime calculations. CodeMax shall provide reasonable advance notice of planned maintenance where practicable.
9. Data Protection
CodeMax is committed to the protection of personal data and processes all personal information in accordance with applicable data protection legislation, including the EU General Data Protection Regulation (GDPR) and India's Digital Personal Data Protection Act, 2023 (DPDPA).
Our information security practices are governed by our ISO 27001:2022 certified Information Security Management System, as described in our ISMS Policy.
For full details on how we collect, process, store, and protect personal data, please refer to our Privacy Policy. Where CodeMax acts as a data processor on behalf of a Client, the terms of data processing shall be governed by a separate Data Processing Agreement.
10. Cookies & Tracking Technologies
Our Website uses cookies and similar tracking technologies. Essential cookies that are strictly necessary for the operation of the Website are set automatically and do not require your consent. Non-essential cookies, including analytics and marketing cookies, are activated only after you provide explicit consent through our cookie consent banner.

12. Confidentiality
Each party agrees to hold all Confidential Information of the other party in strict confidence and not to disclose such information to any third party without the prior written consent of the disclosing party, except:
- To employees, contractors, or advisers who have a legitimate need to know and are bound by obligations of confidentiality at least as restrictive as those set out herein.
- As required by applicable law, regulation, or order of a court or governmental authority, provided that the receiving party gives the disclosing party prompt notice of such requirement (to the extent legally permitted).
This confidentiality obligation shall survive the termination of these Terms & Conditions for a period of three (3) years, or for such longer period as may be specified in a separate agreement between the parties.
13. Indemnification
You agree to indemnify, defend, and hold harmless CodeMax IT Solutions Pvt Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Website or Services in violation of these Terms & Conditions.
- Your breach of any representation, warranty, or obligation under these Terms & Conditions.
- Any claim by a third party arising from your use of the Products or Services, including but not limited to claims related to data breaches caused by your failure to implement adequate security measures.
- Your violation of any applicable law, regulation, or third-party right.
14. Limitation of Liability
To the maximum extent permitted by applicable law:
- CodeMax IT Solutions Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, business opportunity, or anticipated savings, arising out of or in connection with the use of or inability to use the Website, Products, or Services, even if CodeMax has been advised of the possibility of such damages.
- The aggregate liability of CodeMax under these Terms & Conditions, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total fees paid by you to CodeMax in the twelve (12) months immediately preceding the event giving rise to the claim.
- Nothing in these Terms & Conditions shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
15. Disclaimer of Warranties
The Website and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, CodeMax expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, CodeMax does not warrant that:
- The Website will be uninterrupted, timely, secure, or free from errors.
- The information or content on the Website is accurate, complete, reliable, or current.
- Any defects or errors in the Website will be corrected.

This disclaimer does not affect any warranties expressly provided in a separate licence agreement or statement of work for specific Products or Services.
16. Termination
CodeMax may suspend or terminate your access to the Website or Services, in whole or in part, at any time and for any reason, including but not limited to:
- Breach of these Terms & Conditions.
- Non-payment of fees due under a service agreement.
- A request by law enforcement or a governmental authority.
- Discontinuation or material modification of the Website or Services.
- Unexpected technical or security issues.
Upon termination, all rights and licences granted to you under these Terms & Conditions shall immediately cease. Sections 6 (Intellectual Property), 12 (Confidentiality), 13 (Indemnification), 14 (Limitation of Liability), 15 (Disclaimer of Warranties), and 17 (Governing Law) shall survive any termination or expiration of these Terms & Conditions.
17. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or in connection with these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts at Margao, Goa, India.
Notwithstanding the foregoing, where you are established in the European Economic Area (EEA) or the United Kingdom, nothing in these Terms & Conditions shall affect your rights under the GDPR (Regulation (EU) 2016/679) or the UK GDPR, and any mandatory consumer protection laws that apply in your jurisdiction shall prevail to the extent of any inconsistency with these Terms & Conditions.
18. Severability
If any provision of these Terms & Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms & Conditions. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
19. Entire Agreement
These Terms & Conditions, together with our Privacy Policy, Cookie Policy, ISMS Policy, and any applicable service agreement, statement of work, or order form, constitute the entire agreement between you and CodeMax with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written.
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Any failure by CodeMax to enforce any right or provision of these Terms & Conditions shall not constitute a waiver of such right or provision.
20. Changes to These Terms
CodeMax reserves the right to modify, amend, or update these Terms & Conditions at any time at its sole discretion. The revised terms shall take effect immediately upon posting on this page, with the "Last updated" date reflecting the date of the most recent revision.
Where changes materially affect your rights or obligations, we will take reasonable steps to notify you, which may include email notification or a prominent notice on the Website. Your continued use of the Website or Services following the posting of revised terms constitutes your acceptance of such changes. If you do not agree to the revised terms, you must discontinue your use of the Website and Services.
